Terms of Service
These Terms & Conditions (“Terms”) govern access to and use of the websites, applications, agent tools, and related services (collectively, the “Services”) provided by BusyBook, Inc. (“BusyBook,” “we,” “us,” or “our”). By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Acceptance of Terms
These Terms form a binding agreement between you and BusyBook, Inc., a Delaware C corporation. By creating an account, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Pre-Launch Services
BusyBook is in an early stage of development. The Services may include waitlists, demonstrations, prototypes, research experiences, early-access features, communications, and other pre-launch materials. Features, availability, functionality, and timelines may change, be delayed, or be discontinued without notice. No statement on the website is a promise that a product, feature, or service will be released.
3. Eligibility
You must be at least eighteen years old and capable of entering into a binding contract. By using the Services, you represent that you meet these requirements and that your use complies with applicable law.
4. Accounts and Communications
If you create an account, join a waitlist, request a demonstration, or submit information, you will provide accurate and current information and keep it updated. You are responsible for safeguarding account credentials and for activity under your account. You agree that BusyBook may contact you about your request, account, service updates, security notices, and early-access opportunities, subject to your communication preferences and applicable law.
5. AI-Assisted Features
Any AI-assisted feature, output, recommendation, draft, or automation is provided for informational and operational assistance only. AI systems can produce incomplete, inaccurate, biased, or unsuitable results. You are responsible for reviewing and approving outputs before relying on, publishing, transmitting, or acting on them. BusyBook does not provide legal, financial, medical, employment, security, or other professional advice.
6. Your Content and Authorization
You retain ownership of content and data you submit. You grant BusyBook a limited, non-exclusive license to host, process, and use that content solely to operate, secure, support, and improve the Services. You represent that you have all rights, permissions, and lawful bases required to provide the content and data you submit. Do not submit confidential, sensitive, regulated, or personal data unless the Service specifically supports it and you have confirmed that use is appropriate.
7. Acceptable Use
You may not use the Services for unlawful, fraudulent, harmful, deceptive, discriminatory, or abusive purposes; infringe another person’s rights; transmit malicious code; access systems without authorization; interfere with the Services; reverse engineer or decompile the Services except where law permits; scrape or automate access without written permission; or resell, sublicense, or commercially exploit the Services without our consent.
8. Third-Party Services
The Services may link to, integrate with, or rely on third-party platforms, AI providers, payment processors, communication tools, or other services. Your use of those third parties is governed by their own terms and policies. BusyBook is not responsible for their availability, accuracy, conduct, security, or practices.
9. Intellectual Property
The Services, including software, models, interfaces, designs, content, workflows, and trademarks, are owned by BusyBook or its licensors and protected by intellectual-property laws. Subject to these Terms, BusyBook grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. Feedback you provide may be used by BusyBook without obligation or compensation.
10. Fees, Trials, and Promotions
BusyBook may offer paid features, trials, early-access programs, promotional credits, or incentives in the future. Any applicable pricing, payment terms, trial terms, cancellation instructions, and promotion rules will be presented when offered. Unless required by law or expressly stated otherwise, fees are non-refundable, promotional value has no cash value, and promotions may be modified, suspended, or revoked where we reasonably suspect fraud, abuse, or a violation of these Terms.
11. Security and Privacy
BusyBook uses reasonable administrative, technical, and organizational safeguards designed to protect information. No method of transmission or storage is completely secure, and we cannot guarantee absolute security. Our collection and use of personal information are described in our Privacy Policy. You must notify us promptly of suspected unauthorized access to your account.
12. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BUSYBOOK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, OR AVAILABLE AT ANY PARTICULAR TIME.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSYBOOK WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. BUSYBOOK’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS. Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, gross negligence, or willful misconduct.
14. Termination and Dispute Resolution
BusyBook may suspend or terminate access to the Services at any time, including for suspected fraud, abuse, security concerns, or legal compliance. The parties will first attempt to resolve any dispute through informal negotiation for thirty days after written notice. If unresolved, disputes will be resolved by binding individual arbitration before a reputable arbitration administrator under its applicable consumer arbitration rules, seated in San Francisco, California, except that either party may bring a qualifying claim in small-claims court. You and BusyBook waive the right to a jury trial and to participate in a class, collective, or representative action. You may opt out of this arbitration agreement by notifying us at hello@busybook.co within thirty days of first accepting these Terms.
15. Governing Law and Contact
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, except where the arbitration provision or applicable consumer-protection law provides otherwise.
